  1. Definitions
    1. In this Section:
      1. "Services" refer to the Managed Email Security Services provided by StarHub Ltd (Reg. No. 199802208C);
      2. "Email" means any SMTP message sent or received via the Services;"Open Relay" means an Email server configured to receive Email from an unknown or unauthorised third party and forwarded to one or more recipients that are not users of the Email system to which that Email server is connected. Open Relay may also be referred to as "spam relay" or "public relay";
      3. 1.1.4 "Virus" means a piece of program code, including a self-replicating element, usually (but not necessarily) disguised as something else that causes some unexpected and, for the victim, usually undesirable event and which is designed so that it may infect other computer systems; and
      4. "Bulk Email" means a group of more than five hundred (500) Email messages instigated by the Customer with substantially similar content sent or received in a single operation or a series of related operations.
  2. Term
    1. The Minimum Period of Service is 1 year from the Start Date of the Services or as otherwise stated in our application/order form.
    2. The Services will start on the ready for service ("RFS") date as specified in our application/order form and confirmed by us in writing ("Start Date"). If we cannot meet this date, we will give you a new Start Date.
    3. Unless otherwise agreed to by us in writing, when the Minimum Period of Service expires, this Agreement will be automatically renewed on a calendar monthly basis unless you give us a written notice of non-renewal at least 30 days prior to the expiry of the Minimum Period of Service or the renewed term.
  3. Eligibility for Service
    1. This Services may be terminated by either party giving 30 days' written notice to the other party.
    2. If you fail to pay us any moneys due to us under this Agreement within 30 days of the due date of the relevant invoice, we may immediately suspend or terminate the Services by giving you notice.
    3. If you give us a notice to terminate this Agreement or the Services that ends during the applicable Minimum Period of Service, or we terminate this Agreement or the Services pursuant to paragraph 3.2 above or paragraph 17.3 of the General Terms and Conditions prior to the expiry of the applicable Minimum Period of Service, you will be liable:
      1. for all Charges for the Services accrued up to the date of termination which includes the full period of the last billing cycle without any pro-ration;
      2. to pay or refund us a sum of moneys equal to any discount or waiver given to you on the Charges prior to the date of termination; and
      3. for all claims, damages, losses and liabilities which we may suffer because of the early termination.
        In computing whether or not you have complied with the Minimum Period Service, we will not take into account any period for which the Services are suspended for any reason whatsoever.
  4. Additions, Changes & Cancellations
    1. Applications for additional Services or request for changes to be made to existing Services must be given to us in writing.
    2. There will be a Charge if you cancel or change any part of the Services. The Charges will be levied on a per domain basis.
    3. In addition to the above, if you downgrade or cancel any part of the Services, the early termination Charge equivalent to the monthly recurring Charges of the Services for the remaining Minimum Period of Service will be levied.
  5. Customer Service Warranty
    1. If you accept any of the Services which expressly provides for a Customer Service Warranty, in the event of any failure of the Services or to meet an agreed delivery date for starting the Services, you agree that the compensation provided under the warranty represents a reasonable pre-estimate of all your losses. We have no further liability to you for the failure.
    2. Your rights to claim compensation from us are set out in and limited to the applicable Customer Service Warranty.
